1. Acceptance of Terms

By accessing and using the Xenvilo SpA platform (hereinafter, "the Platform"), you agree to comply with these Terms and Conditions. If you disagree with any part of these terms, we ask that you not use our services. The Platform operates under the laws of the Republic of Chile and is subject to supervision by the Financial Market Commission (CMF).

2. Service Description

Xenvilo is a real estate crowdlending platform that allows multiple investors to participate in construction and urban development projects in Chile. The Platform acts as an intermediary between investors and real estate project developers, facilitating the raising of funds for specific, previously evaluated projects.

Services include: presentation of investment opportunities, capital contribution management, project progress monitoring, and yield distribution.

3. Registration Requirements

To use investment services, you must create an account providing truthful, complete, and up-to-date information. You must be over 18 years of age and have legal capacity to enter into contracts in Chile. Identity verification is mandatory in accordance with Law No. 19,913 on anti-money laundering.

You are responsible for maintaining the confidentiality of your access credentials and all activities carried out under your account.

4. Investment Risks

All investments carry risks. Past returns do not guarantee future results. Real estate crowdlending involves specific risks, including: risk of partial or total loss of invested capital, liquidity risk, risk of delays in project execution, and risk of variations in the real estate market.

Xenvilo does not guarantee returns or recovery of invested capital. We recommend investing only funds you can afford to lose and diversifying your investments.

5. User Obligations

The user agrees to: use the Platform responsibly and in accordance with the law, provide truthful information and keep it updated, not use the Platform for illicit activities, not attempt to breach the Platform's security systems, and comply with tax obligations associated with their investments before the Internal Revenue Service.

6. Intellectual Property

All content on the Platform, including but not limited to texts, graphics, logos, images, software, and their compilation, is the property of Xenvilo SpA or its content providers and is protected by Chilean intellectual property laws and international treaties.

Reproduction, distribution, or modification of content without prior written authorization from Xenvilo SpA is prohibited.

7. Limitation of Liability

Xenvilo SpA acts as an intermediary and is not responsible for investment decisions made by users. The Platform is provided "as is" and "as available." We do not guarantee that the service will be uninterrupted, secure, or error-free.

In no event shall Xenvilo SpA be liable for indirect, incidental, special, or consequential damages resulting from the use of the Platform.

8. Modifications to Terms

We reserve the right to modify these Terms and Conditions at any time. Modifications will take effect upon publication on the Platform. Continued use of the Platform after such modifications constitutes acceptance of the new terms.

We will notify you of significant changes via email or a prominent notice on the Platform.

9. Applicable Law and Jurisdiction

These Terms and Conditions are governed by the laws of the Republic of Chile. Any dispute arising from the use of the Platform shall be submitted to the jurisdiction of the ordinary courts of justice of Santiago de Chile, expressly waiving any other jurisdiction that may correspond.
